how can Activision and Microsoft merge in the US but not elsewhere?

The FTC lost their appeal to stop the merger of Activision and Microsoft, so I read they can merge tonight after midnight in the US.

I understand other countries like the UK still haven’t approved the merger, but from the companies standpoint, how does this work?

How can one company own another company in the US but not in the UK for example?

They might need to sell off the units operating outside of the US or change their plans on the merger.

Idk what is the problem. They’ll just work as two separate companies in the UK. In my country for example, KFC and Hardee’s are owned by the same company, and so they’re always next to each other, always have the same or very similar offer, etc… however, when I go to neighboring countries I see that Hardee’s and KFC are not owned by the same company, they have different meals. also, in a neighboring country
Baskin Robbins and Dunkin’ Donuts are owned by the same company, that’s why you always see them next to each other, but in my country Baskin Robbins and Dunkin’ Donuts are owned by two different companies, have different pricing, offers, etc… I hope my explanation was clear.
