The root of the scandal was the directors of Union Pacific were getting around the cost-plus limits of their government contracts by creating a fake company named Crédit Mobilier of America to re-bill the construction at an inflated price.
There are some additional factions – stock price manipulation, bribery, defaulting on government loans, sale of lands granted to the railroad, etc. But the main part was this inflated invoicing through a controlled company.
