We makes memories with our consciousness. When we are asleep we are unconscious.

So when we fall asleep, we gradually moves from a state where we can make memories to a state where we cannot. See the problem? What’s more, the memory department is one of the first to close shop.

That said, some lucid dreamers should be able to retain consciousness while they fall asleep.
